Proofpoint, a major player in cybersecurity, is moving forward with plans to purchase Varonis through an all-cash agreement valued at $6.3 billion, the company announced Thursday.

The combined company will serve more than 16,000 enterprises and millions of organizations globally, creating one of the world's leading pure-play cybersecurity companies and establishing the industry's largest data and AI cybersecurity organization.

Proofpoint

Varonis, established in 2005 and based in Miami, specializes in data visibility and security solutions. Proofpoint, which was founded in 2002 and operates from California, has built its reputation primarily around email security and identity threat defense capabilities.

Artificial intelligence played a central role in the companies' rationale for the merger. The merged entity aims to develop a platform designed to "help organizations adopt AI with confidence: finding and protecting sensitive data, controlling what people and AI can access, and stopping data loss."

Both organizations have established track records in cybersecurity research and threat analysis.

Varonis made headlines recently when its researchers demonstrated how they could manipulate Microsoft's Copilot Personal AI assistant into revealing methods for compromising itself. Meanwhile, Proofpoint released analysis earlier this month detailing a sophisticated phishing operation believed to be state-sponsored and originating from China, targeting organizations for espionage purposes.
